    To provide comprehensive legal advisory and transactional support nationally in relation to lending, investment and commercial transactions, including the drafting, review and vetting of legal agreements and transaction documentation, supervision of bond registrations by external bond conveyancers, contract reviews, legal research, legal due diligence reports and the preparation of legal opinions.

    Qualifications NQF Level: 8 Law degree recognised by the Law Society of South Africa) is required. Admitted Attorney/Advocate of the High Court NQF level 9 will be an added advantage Experience • 3 years’ post-admission experience as an attorney, preferably in drafting commercial agreements, regulatory, administrative, procurement, contractual and commercial law. Exposure to or knowledge of SME / development finance sector preferred including Drafting of commercial and finance agreements; Vetting and review of commercial contracts; Development finance transactions; Banking and lending transactions; Corporate and commercial transactions; Structured finance; Debt and equity investments; Security documentation and perfection; Mergers and acquisitions; Share subscription and shareholder agreements; Competencies Legal Expertise & Transactional Acumen Legal Advisory and Interpretation Legal Analysis & Judgement Commercial and Transaction Structuring Strategic & Commercial Thinking

    Duties

    Provide legal advice on SEDFA's funding and commercial transactions. Structure and advise on legally sound and commercially viable transactions. Draft, review and negotiate loan, funding, investment and commercial agreements. Provide legal support across various funding products and structures, including: Term loans; Instalment sale and asset finance; Purchase order and contract funding; Bridging and working-capital facilities; Wholesale and intermediary funding; Co-funding arrangements; Preference and convertible preference share investments; Guarantees and other credit-enhancement structures; and Other structured finance and development-finance transactions. Draft and review term sheets, facility agreements and security documents. Prepare and review guarantees, suretyships, cessions, pledge agreements and other security instruments. Draft and review shareholder and investment agreements. Prepare amendments, waivers, consents, restructures and settlement arrangements. Advise on the structuring, perfection and enforcement of security. Review mortgage bonds, notarial bonds, cessions of book debts, guarantees, suretyships and other forms of security. Conduct and/or oversee legal due diligence on prospective transactions. Review corporate structures, constitutional documents, ownership and shareholder arrangements. Prepare comprehensive legal due diligence reports and recommendations Participate in negotiations with clients, co-funders, intermediaries, professional advisers and other stakeholders. Coordinate legal aspects of transaction closing. Ensure that all transactions and legal advice comply with applicable legislation, regulations, regulatory requirements, policies and internal procedures, including the National Credit Act (NCA) and applicable National Credit Regulator (NCR) requirements.
